I.      CORPORATE BACKGROUND

 

Smart, Inc. is a Real Estate Development and Consulting firm that specializes in providing master planning, operations management, construction management, information technology, property management, and resident services. Representative clients and main markets are federal, state, and local governments, public agencies, businesses, and non-profit organizations. Smart, Inc. has been in business since 1993. The U.S. Small Business Administration has certified Smart, Inc. an 8(a), Historically Underutilized Business Zone ( HUB Zone ) and Small Disadvantaged Business ( SDB ) enterprise. Corporate headquarters are located in the landmark Southern Triangle Building located in the Central Business District of New Orleans, with satellite operations in New York, Washington, D.C., and the U.S. Virgin Islands.

 

II.      SERVICES

 

Community Planning and Development

Smart, Inc. was awarded the HUD contract for Consolidated Technical Assistance for Community Planning and Development for the State of Louisiana. The Technical engagement was designed to enhance the efficient administration by Louisiana municipalities of the HOME, the CDBG and the Supportive Housing Programs.
 
Smart provided information, advice and recommendations to HUD and program participants relating to efficient and effective management and delivery of community development programs and services. Those programs and services, in large part, focused on the acquisition, rehabilitation, new construction, financing, management and maintenance of affordable housing. During the course of the HUD/TA contract, Smart provided briefings, technical assistance and other supportive services in solving problems to avoid impediments to efficient and effective program operations. Additionally, Smart provided evaluations, reviews and assistance in policy review and design; policy and program implementation and reengineering; legislation review and implementation; budget formulation support; program and organizational management; information resources management; customer service; financial management; operations analysis; risk analysis; and presentation development.

Community Relations

Smart, Inc. has developed a special niche in designing local community revitalization initiatives incorporating Web/IT-based solutions to construction and communications. Examples of that work include designing a Website interface for a neighborhood revitalization effort, and designing technologically sophisticated homes and buildings for a 234-unit mixed-income, mixed-use community.

 

Smart, Inc. has developed expertise in Community Services, Family Self Sufficiency, Job Training, and Employment program design and implementation. We designed a successful Community Leadership College effort in the Virgin Islands, a One Stop Career Center in partnership with the Department of Labor, and a Computer Learning Center with the University of the Virgin Island's Cooperative Extension Services.
 
The principals of Smart, Inc. have many years of experience working with public housing residents, resident councils and community-based organizations. In the 1980's, Smart, Inc.'s CEO served as General Counsel to the Tenant Advisory Council of the New York City Housing Authority, which boasts a membership of over 600,000 public housing residents. Smart, Inc. has represented Tenant Advisory Boards, Resident Councils, and Resident owned businesses. We have also designed successful TOP, EDSS, and Youth Build programs in Buffalo, NY; New Orleans, LA; New York, NY; New Iberia, LA: and the U. S. Virgin Islands. Collectively, we have worked with nearly 80 Resident Councils around the world.

 

Smart, Inc. has also worked with nearly 100 community-based organizations around the country that have been engaged in activities involving community revitalization initiatives. Smart, Inc.'s team members serve and have served on the board of directors for several community-based organizations and nonprofits throughout the country over the last 15 years.

 

During our engagement by HUD in the intervention at the Housing Authority of the City of Camden, New Jersey, Smart, Inc. was responsible for running the entire Resident Services Department of the Authority. Smart, Inc. has been involved in developing the social services component for three (3) HOPE VI efforts. Smart, Inc. has designed and implemented programs responsive to the needs of residents and have involved residents, neighborhood organizations, local and state governments, community businesses, and local supportive service agencies in the planning process.

 

Fair Housing

Smart, Inc. has provided Technical Assistance on Fair Housing issues to public and assisted housing providers and CDBG, HOME and Shelter Plus Care grantees. Our team members are skilled in all aspects of Section 504, Title II of the Americans with Disabilities Act and related laws.

 

Smart, Inc. has worked with Architects and Design consultants in analyzing accessibility requirements and proposed building plans, as well as, new technology available for sight and hearing impaired accessibility. We have worked with units of local government to provide staff training and technical assistance. We have also worked with HUD to Design technical assistance workshops for governmental units.

 

Smart, Inc. also developed a revised Section 3 Policy and Procedural Guidelines for the State of New York. We also conducted a statewide training program in Section 3 compliance for New York State. Smart, Inc. has provided information, advice and recommendations to program participants relating to the impact of Fair Housing laws on the efficient and effective management and delivery of community development programs and services. Those programs and services, in large part, focused on ADA and 504 impacts on the rehabilitation, new construction, financing, management and maintenance of multifamily housing.

 

Financing Strategies and Structures

Smart, Inc. has a depth of talent in fiscal analysis and sustainable financing. As a team we have analyzed both rehabilitation and new construction projects. We have designed affordable rental, limited equity cooperative, condominium, and single-family homeownership projects. We have worked on Supportive Housing, Elderly Housing, 5(h), HOPE I, HOPE III, HOME, CDBG, Turnkey III and HOPE VI projects and understand how to leverage resources and layer subsidies.
 
Smart, Inc. was engaged by the Louisiana Housing Finance Agency to develop leveraging guidelines for its HOME and Tax Credit Programs. We have developed MOAs between agencies to share issuance costs and transaction fees. We have also been engaged to lead Transaction Teams on several affordable housing projects that have involved single and multifamily bond issues, as well as 4% and 9% Tax Credits.
 
Identifying and leveraging non-Federal resources is a competitive necessity in the development of affordable housing. Our talent is leveraging resources and creating synergies between local initiatives. We have experience in isolating viable options for the use of Low Income Housing Tax Credits, Historic Tax Credits, 203k Mortgages, Fannie Mae, Freddie Mac, Rural Economic and Community Development (Farmer's Home), Federal Home Loan Bank, and other non-government resources. Smart, Inc. has also worked with Tax Credit Syndicators around the country and is attuned to the marketing of tax credits to secure the maximum infusion of equity.
 
Smart, Inc.'s principals understand how to create sustainable neighborhoods of mixed-income populations with a mix of financing. Our work on previous projects has involved HOPE VI, CGP, CIAP, MROP, HOME, CDBG, CHDO and Supportive Housing funds, as well as Tax Credits, Mortgage Revenue Bonds, 108/EDI, Empowerment Zone funding and incentives, and private loans and grants.

 

Master Planning

Smart, Inc. has served as a master planning consultant firm for the State of Louisiana, several cities in Louisiana, and the U.S. Virgin Islands. Services rendered included Urban Design, Site Planning, and Landscape Architecture. Recognizing the need for adaptable housing environments, Smart, Inc. began working on Universal Design protocols for new construction in the 1980s. Progressively, the development of new housing has embraced those Universal Design concepts and expanded that philosophy to include standards to promote Visitability. Smart, Inc. is currently engaged in designing new living communities that are universally accessible to sight and hearing impaired individuals. The company has a strong Construction Management history, demonstrated by several engagements with municipal governments and PHAs to resuscitate projects in default such as the Desire HOPE VI effort in New Orleans; and the McGuire Gardens HOPE VI and the Royal Court HOPE VI/Turnkey III projects in Camden, NJ.
 
We have developed asset management strategies for several public housing authorities with very different resident populations, in both urban and rural settings. We have developed Consolidated Housing, Community and Economic Development Plans (Consolidated Plans), and Comprehensive Housing Affordability Strategies (CHAS) for municipalities and entire states. We have developed Mixed Finance, Mixed Use, and Mixed Income projects for governmental entities and private developers. We have also structured financing scenarios and management teams, as well as coordinating start to finish.

 

Examples of other engagements include designing a state-wide, federally funded HOME Program, developing and writing Homeownership Zone Plans, Community Renewal Plans, Agency Plans and Empowerment Zone applications, and resolving federal audit findings for municipal governments. The Company has revitalized residential and commercial buildings for its own account and uses that experience in designing and implementing projects for public and private sector developers.

 

Multifamily Housing

Smart Inc. served as Housing Development Consultant for the City of New Orleans. Smart was contracted by the City of New Orleans to provide technical assistance with respect to the design, development and delivery of housing and community development programs and services. As part of that contract engagement, Smart designed a multiple public/private partnership to rescue three multifamily properties totaling 1500 units.
 
Each of those multifamily properties was encumbered with HUD insured mortgages that had gone into foreclosure prior to and during the time HUD was the mortgagee in-possession. The properties were is disrepair with large concentrations of Section 8 recipients, infested with termites, and 50% vacant. Combined, these multifamily properties represented approximately 1500 units of housing. Smart, Inc. designed a solution that included acquisition, financing and management strategy.

Neighborhood Revitalization

Smart, Inc. has been involved in HOPE VI and mixed finance projects since the inception of the Urban Revitalization Demonstration program. The company has distinguished itself in engagements as Program Manager of HOPE VI projects, as well as statewide and local housing initiatives. Smart, Inc. has served as an Alternative Management Entity, responsible for a PHA's procurement and contracting, relocation and Resident Services, and overall Asset Management of the PHA's investments and property. We were recently chosen as Developer for two Mixed-Finance new construction projects in the Virgin Islands. Throughout our engagements, Smart, Inc. has been directly involved in the design and implementation of new affordable housing and homeownership projects. Many of those engagements involved facilitating Public/Private partnerships to assure the front end and long-term success of the project development effort. Smart, Inc. has written successful grant applications, structured the procurement of partners and resolved defaults with funded HOPE VI efforts.

 

Smart, Inc. was engaged to resuscitate a HOPE VI project in default for the Camden, New Jersey Housing Authority. During that engagement, we completed relocation activities for Phase I; conducted several Charettes for the project; terminated several contracts; realigned project staff; and re-procured, revised, and negotiated final contract and performance requirements with selected firms. Smart, Inc. was engaged in the recovery efforts of the Housing Authority of New Orleans, a troubled PHA. Smart, Inc. wrote two (2) successful HOPE VI applications and assisted in salvaging the HOPE VI Grant in default.

 

In February 2000 and in November 1998, the U.S. Department of Housing and Urban Development's Office of Community Planning and Development awarded Certificates of Recognition to Smart, Inc. for expertise in the area of Capacity Building and for Outstanding Performance in the delivery of Technical Assistance.

 

Public Housing

Smart, Inc. has a wealth of corporate and personnel experience in all phases of PHA operations. We have served as the Alternative Management Entity responsible for managing the Procurement, Modernization and Resident Services Departments at the Camden Housing Authority. The company has served as a Technical Assistance provider to troubled PHAs throughout the country in interventions administered by the Office of Troubled Agency Recovery. Currently, Smart, Inc. serves as Developer, Asset Manager, Operations Consultant and Program Developer for several PHAs. Over the years, we have worked with PHAs in New York City, Camden, New Jersey; Miami, Florida; New Orleans, Louisiana; Shreveport, Louisiana; Texarkana, Texas; Poth, Texas; Benson, North Carolina; San Juan, Puerto Rico and the U. S. Virgin Islands.
 
Smart, Inc. s President has served as Administrative Receiver, Executive Director, Chief of Staff and Section 8 Division Chief during her public service career. Smart, Inc. s CEO has served as General Counsel to the Camden Housing Authority, General Counsel to the Tenant Advisory Council of the New York City Housing Authority, and Special Housing Counsel for the City of New Orleans. Mr. LaSister also served as Chairman of the American Bar Association s standing committee on HUD Programs and Procedures for three years and as National Chairman of the Real Estate Division of the National Bar Association for three years. Smart, Inc. s Real Estate Finance Division Chief has served as Financial Advisor and Investment Banker for numerous PHAs engaged in revitalization initiatives.

 

We have broad-based experience in Real Estate Development, Asset Management and Operations Management. We have worked on the design, management and resuscitation of HOPE VI projects around the country, and are currently engaged by HUD under a Blanket Purchase Agreement for HOPE VI Expeditor services. We are also skilled grant writers, having written several successful Youthbuild, EDSS and TOP Grants. We have also structured successful collaborations with public and private agencies to create One-Stop Career Centers, Computer Learning Centers, Small Business Incubators, Day Care centers and leadership training programs.

 

Research and Development

After working with the Technology Diffusion initiative in New York State, the founding member of Smart, Inc. created the company to promote the development of technologically sophisticated affordable housing and commercial buildings. Smart, Inc. has continued over the past 9 years to be involved in research, planning and development activities involving single and multifamily housing design and production utilizing advanced construction materials and methods. Smart, Inc. s research methodologies have been developed over the years through hands-on projects for public and private entities around the country.

 

Smart, Inc. was engaged by the City of New Orleans to restructure its housing agency and blighted Housing regulations to enhance the delivery of housing services. That engagement involved researching state law, building codes, impact fees and other regulatory issues to effectively streamline the blighted property ordinance for the City. Smart, Inc. was also involved in researching information relevant to restructuring the policies and procedures for the City s Housing agency, disseminating information to the public on the City s Housing initiatives, structuring a revitalization effort to reclaim over 1200 multifamily housing units in HUD mortgage defaults and researching flood mitigation efforts appropriate for a city that is below sea-level.
 
HUD engaged Smart, Inc. as Technical Assistance provider for the State of Louisiana with respect to the HOME, Community Development Block Grant, and Supportive Housing programs. During that multi-year engagement, our efforts involved research and the development of informational materials ranging from environment quality and natural hazard mitigation to accessibility for disabled and elderly persons. Those efforts required that we study information relationships throughout the state, as well as, within the municipalities to develop mechanisms to enhance the exchange of information on HUD program requirements.

 

Our consulting engagements have launched Smart, Inc. into the role of Developer for the new construction and renovation of single and multifamily housing in St. Thomas, St. Croix and New York communities. Those development efforts have provided us with demonstration vehicles to explore the utilization of advancements in building technology, production methods, property management systems, energy and resource conservation, construction materials and methods, environmental hazard mitigation and natural hazard mitigation.
 
In addition, Smart, Inc. has provided information, advice and recommendations to the Department of Housing and Urban Development (HUD) and program participants relating to efficient and effective management and delivery of community development and housing management services. During the course of those contracts, Smart, Inc. provided briefings, technical assistance and other supportive services in solving problems to avoid impediments to efficient and effective program operations. Single Family Housing

Since its inception, Smart, Inc. has provided training technical assistance and developer services in connection with single-family housing production. Smart, Inc. was engaged by the state of Louisiana to design its statewide HOME program, as well as, to develop the functional relationship between the HOME Program and the state s private activity bond, CDBG and Low Income Housing Tax Credit programs.
 
Smart, Inc. was engaged by the City of New Orleans to resolve audit findings in its first time Homebuyers Program. As part of that engagement, we helped the City of New Orleans re-engineer its Housing department and helped design a new City-Sponsored Not-for-Profit entity to serve as sponsor of new affordable housing initiatives.
 
Smart, Inc. has worked with Housing Counseling Agencies, Community-based nonprofits and government-sponsored subsidiaries in establishing their single-family housing initiatives and designing their delivery systems. We have worked with lenders to tailor mortgage programs to local conditions and CRA requirements. Smart, Inc. has also worked with units of local government to integrate the Departments Officer and teacher next-door programs.

 

Smart, Inc. has also worked with local government and lenders to assess the viability of manufactured housing and component construction for single-family programs. Our experience includes new construction and substantial rehabilitation projects.

 

III.      JOB DESCRIPTIONS

 

Project Manager: Determine and formulate policies and business strategies and provide overall direction of private sector organizations, plan, direct and coordinate operational activities at the highest level of management with the help of subordinate managers.

 

Information Technology Manger: Plan, direct and coordinate activities in such fields as electronic data processing, information systems, systems analysis, and computer programming. These persons spend the greatest portion of their time in managerial work for which a background required would be consistent with that described for computer professionals such as computer systems analysts, computer scientists, database administrators, computer programmers, and computer support specialist.

 

Architect: Plan and design structures, such as private residences, office buildings, theaters, factories and other structural property.

 

Engineer: Perform engineering duties in planning designing, and overseeing construction and maintenance of structures and facilities such as railroads, airports, bridges, harbors, channels, dams, irrigation projects, pipelines, power plants, water and sewerage systems, and waste disposal units. Includes traffic engineers who specialize in studying vehicular and pedestrian traffic conditions.

 

Financial Analyst: Conduct statistical analyses of information affecting investment programs of public or private institutions and private individuals.

 

Procurement Analyst: Coordinate activities involved with procuring goods and services from suppliers. May negotiate with suppliers to draw up procurement contracts and administer, terminate, or renegotiate contracts. Excludes purchasing agents and buyers of farm products.

 

Management Analyst: Review, analyze, and suggest improvements to business and organizational systems to assist management in operating more efficiently and effectively. Conduct organizational studies and evaluations, design systems and procedures, conduct work simplification and measurement studies, and prepare operations and procedures manuals. Excludes computer systems analysts.

 

Property Manager: Plan, direct, and coordinate selling buying leasing or governance activities of commercial, industrial, or residential real estate properties. Include managers of homeowner and condominium associations, rented or leased housing units, buildings, or land (including rights-of-way).

 

Budget Analysts: Examine budget estimates for completeness, accuracy, and conformance with procedures and regulations, Examine requests for budget revisions, recommend approval or denial and draft correspondence. Analyze monthly department budgeting and accounting reports for the purpose of maintaining expenditure controls. Provide technical assistance to officials in the preparation of budgets.

 

Construction Manager: Plan, direct, coordinate, and budget, usually through subordinate supervisor personnel, activities concerned with the construction and maintenance of structures, facilities, and systems. Participate in the conceptual development of a construction project and oversee its organization, scheduling, and implementation. Include specialized construction fields such as carpentry or plumbing. Include general superintendents, project managers, and constructors who manage, coordinate, and supervise the construction process.

 

Graphic Design Manager: Design art and copy layouts for material to e presented by visual communications media, such as books, magazines, newspapers, television, and packaging.

 

Administrative Technician: Relieve officials of clerical work and minor administrative and business details by scheduling appointments, giving information to callers, taking dictation, composing and typing routine correspondence (using typewriter or computer), reading and routing incoming mail, filing correspondence, and other records, and other assigned clerical duties. Excludes executive secretaries.

 

Operations Manager: Plan, direct, and coordinate supportive services of an organization, such as record keeping, mail distribution, telephone reception, and other office support services. May oversee facilities planning and maintenance and custodial operations. Includes facilities managers. Excludes procurement managers.

 

Trainers: Teach or instruct vocational and/or occupational subjects at the postsecondary level (but at less than the baccalaureate) to students who have graduated or left high school. Subjects include business, secretarial science, data processing, trades, and practical nursing. Include correspondence school instructors; industrial, commercial and government training instructors; and adult education teachers and instructors who prepare persons to operate industrial machinery and equipment and transportation and communications, equipment. Teaching may take place in public or private schools whose primary business is education or in a school associated with an organization whose primary business is other than education.

 

Personnel Analyst: Interview job applicants in employment office and refer them to prospective employers for considerations, Search application files notify selected applicants of job openings, and refer qualified applicants to prospective employers. Contact employers to verify referral results. Record and evaluate various pertinent data.

 

Social Services Analyst: Plan organizes, and work with community groups to help solve social problems and deliver specialized social services.

(a) When ordering services, customer shall:

(1) Prepare a Request (Request for Quote or other communication tool):

                                  ;                              i.      A statement of work (performance-based statement of work is preferred) that outlines, at a minimum, the work to be performed, location of work, period of performance, deliverable schedule, applicable standards, acceptance criteria, and any special requirements (i.e. security clearances, travel, special knowledge, etc.) should be prepared.

                                  ;                            ii.      The request should include the statement of work to submit either a firm-fixed price or a ceiling price to provide the services outlined in the statement of work.
